If you’re voting in person at the AGM, the voting date is Thursday 24 April 2025.
Appointing a Representative
At an AGM, you can vote by either attending the meeting and voting in person, or if you wish, you can appoint someone else to attend the meeting on your behalf and follow your Standard Vote instructions. This is called appointing a representative.
The Chair of the meeting will act as your representative and follow your voting instructions unless you nominate someone else to vote on your behalf.
If you don’t want the Chair to act as your representative, you can name anyone as your representative by completing the relevant section within your voting form or on the voting website – they don’t have to be one of our members.
By submitting the details online, you are appointing a representative to go to the AGM (or any adjournment of the meeting) and vote for you on the resolutions, the election or re-election of directors and any other matters arising. Your votes will only count if your representative attends the AGM and votes.
Notes on voting
- Your representative may vote for you at the meeting, but only on a poll. A poll is a formal vote, which may take place after an initial vote by a show of hands or straight away if the Chair asks for a poll.
- There are 11 directors standing for election or
re-election to fill the vacancies on the board,
so you have 11 votes. You may vote only once
for each director candidate.
- You don’t have to use all or any of your votes.
- By signing and dating the Quick Vote or by submitting your Quick Vote online, you’ll be treated as having placed an ‘X’ in favour of each of the resolutions and election and re-election of the director candidates.
- A holder of a power of attorney from a member who is entitled to vote can appoint a representative to vote on behalf of the member if the power of attorney gives that right and has been registered with the Society. A member entitled to vote, who has given a power of attorney, can appoint a representative instead of their attorney.
- Corporate bodies cannot appoint a representative but may appoint a corporate representative who can vote by attending the Meeting but only in accordance with the Society’s Rules.
